Terms of Service

Please read these terms carefully before using Skoolly. By using the platform, you agree to be bound by these terms.

1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("School", "User", or "you") and Skoolly ("we", "us", or "our"), governing your access to and use of the Skoolly school management platform, including the mobile application, web dashboard, and associated APIs (collectively, the "Service").

By registering an account, downloading the app, or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are accepting these Terms on behalf of a school or organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not use the Service.

2 Description of Services

Skoolly provides a cloud-based school management platform that includes, but is not limited to:

  • Student admission and profile management
  • GPS + face-recognition based attendance marking
  • Exam results publication and viewing
  • Fee management and online payment processing
  • Dynamic class timetable management
  • Digital e-Diary for homework and notices
  • Push notification services via Firebase Cloud Messaging
  • Analytics and reporting tools for school administrators
  • Multi-role access for administrators, teachers, students, and parents

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

3 User Accounts

3.1 School Registration
Schools register a primary administrator account. The administrator is responsible for all activity that occurs under the school's account.

3.2 Teacher and Student Accounts
Teacher and student accounts are created and managed by the school administrator. Each user is responsible for maintaining the confidentiality of their login credentials.

3.3 Account Security
You must notify us immediately at support@skoolly.tech if you suspect unauthorised access to your account. We are not liable for any loss resulting from unauthorised access due to your failure to protect your credentials.

3.4 Accurate Information
You agree to provide accurate, current, and complete information when creating an account and to keep it updated.

4 School Obligations

By using Skoolly, the school agrees to:

  • Obtain all necessary consents from students, parents, and staff before enrolling them in the platform, particularly for face-recognition attendance and location tracking
  • Ensure that all data entered into the system is accurate and lawfully obtained
  • Appoint a responsible administrator who manages user access and data
  • Comply with applicable data protection laws, including the Personal Data Protection Bill (India) and any other relevant local regulations
  • Not share login credentials across multiple users
  • Promptly report any data breaches or security incidents to us
Schools are data controllers for the student and staff data entered into Skoolly. Skoolly acts as a data processor on your behalf. The school is responsible for compliance with applicable student data protection laws.

5 Acceptable Use Policy

You agree not to use the Service to:

  • Upload, transmit, or share any content that is unlawful, defamatory, abusive, or harmful
  • Attempt to gain unauthorised access to any part of the platform or another user's account
  • Use automated scripts, bots, or scrapers to extract data from the platform
  • Reverse engineer, decompile, or disassemble the Skoolly mobile application or APIs
  • Resell, sublicense, or redistribute access to the Service without written permission
  • Use the platform for any purpose other than school management
  • Violate any applicable laws or regulations
  • Interfere with the availability or performance of the Service for other users

We reserve the right to suspend or terminate accounts that violate this policy without notice.

6 Data and Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.1 Your Data
You retain ownership of all data you input into the Service ("School Data"). We will not access, use, or share your School Data except as necessary to provide the Service or as required by law.

6.2 Data Processing
We process School Data on your behalf in accordance with your instructions and our Privacy Policy. By using the Service, you grant us a limited licence to process School Data solely for service delivery purposes.

6.3 Data Portability & Deletion
Upon request, we will provide your School Data in a standard exportable format. Upon account termination, School Data is deleted within 30 days unless retention is required by law.

7 Payments and Subscriptions

7.1 Subscription Fees
Skoolly operates on a subscription model priced per school based on the number of enrolled students. Pricing is communicated during onboarding and is subject to change with 30 days notice.

7.2 Payment Processing
Subscription fees are processed securely via Razorpay. We do not store card details on our servers.

7.3 Student Fee Payments
When students pay school fees through the Skoolly app, the transaction is between the student/parent and the school. Skoolly facilitates the transaction but is not responsible for fee disputes between schools and students.

7.4 Refunds
Subscription fees are non-refundable except in cases where the Service is unavailable for more than 72 consecutive hours due to our fault. Student fee payment refunds are governed by the school's own refund policy.

7.5 Late Payment
If a school's subscription payment fails, we will notify the school and provide a 7-day grace period before suspending the account.

8 Intellectual Property

8.1 Skoolly IP
The Skoolly platform, including the mobile application, web interface, branding, logos, and underlying technology, are the exclusive property of Skoolly and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Service.

8.2 Your Content
You retain all rights to the data and content you upload to the Service. You grant Skoolly a non-exclusive, royalty-free licence to use your content solely to provide and improve the Service.

8.3 Feedback
Any feedback, suggestions, or ideas you provide to us may be used by Skoolly without restriction or compensation to you.

9 Service Availability

We aim for 99% monthly uptime. Planned maintenance will be communicated at least 24 hours in advance. We are not liable for downtime caused by:

  • Third-party service failures (Firebase, Razorpay, Google Maps, hosting provider)
  • Internet connectivity issues on the user's side
  • Force majeure events (natural disasters, government action, etc.)
  • Circumstances beyond our reasonable control
The Service is provided "as is" and "as available". We do not warrant uninterrupted, error-free operation of the Service at all times.

10 Limitation of Liability

To the maximum extent permitted by applicable law:

  • Skoolly's total liability for any claim arising from these Terms shall not exceed the total subscription fees paid by you in the 3 months preceding the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not liable for any loss of data, revenue, profits, or business opportunities resulting from use or inability to use the Service
  • We do not guarantee the accuracy of AI-extracted data from the admission document scanner — all AI-extracted information must be verified by the school administrator before saving

11 Termination

11.1 By You
You may terminate your account at any time by contacting us at support@skoolly.tech. Termination does not entitle you to a refund of any paid subscription fees.

11.2 By Us
We may suspend or terminate your account immediately if you breach these Terms, fail to pay subscription fees after the grace period, or use the Service in a way that harms other users or Skoolly.

11.3 Effect of Termination
Upon termination, your access to the Service will cease. We will retain your School Data for 30 days, during which you may request an export. After 30 days, all data will be permanently deleted.

12 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Send a notification to the school administrator's registered email address
  • Display an in-app notice when the updated Terms take effect

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

13 Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation.

If the dispute cannot be resolved within 30 days of written notice, it shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996 of India. The place of arbitration shall be India, and the language shall be English.

Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
